Welcome to Dr. Redact. These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and Dr. Redact LLC ("Dr. Redact," "we," "us," or "our"), the operator of drredact.com and related mobile applications (collectively, the "Service"). By creating an account, accessing the Service, or uploading any document, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

1 Description of Service

Dr. Redact is a cloud-based, AI-powered document redaction platform that enables users to permanently remove sensitive, personally identifiable, and confidential information from digital documents ("Redaction Service"). The Service includes:

  • Automated detection of PII, PHI, and PCI data patterns in PDF, Word, Excel, TIFF, and image files
  • AI-assisted review and approval workflows
  • Permanent, pixel-level redaction of approved content
  • Secure cloud storage of original and redacted documents for the retention period applicable to your plan
  • Redaction certificates and audit trail generation
  • Mobile camera document capture and OCR processing (Phase 2)
  • Team collaboration features for eligible subscription plans

2 Account Registration and Eligibility

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use. By registering, you represent that all information you provide is accurate and current.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@drredact.com of any unauthorized use of your account. Dr. Redact is not liable for any loss resulting from unauthorized access to your account that occurs through no fault of ours.

2.3 One Account Per User

Each individual user may maintain only one Dr. Redact account. Team members must be added through the team management features of eligible plans rather than creating separate accounts to circumvent page limits.

3 Free Trial

New accounts receive a one-time free trial of 3 pages of redaction processing. No credit card is required for the free trial. The free trial is subject to the following conditions:

  • Free trial pages are granted once per account and do not renew or carry over
  • Documents processed during the free trial are stored for 7 days
  • Free trial users must not upload Protected Health Information (PHI) as defined under HIPAA. By using the free trial, you confirm you will not upload PHI. A Business Associate Agreement is not available for free trial accounts
  • After free trial pages are exhausted, a paid plan or PAYG pack is required to continue processing
  • Dr. Redact reserves the right to discontinue or modify the free trial at any time

4 Pricing, Payment, and Plans

4.1 Pay-As-You-Go Packs

Pay-As-You-Go ("PAYG") packs are one-time purchases that grant a defined number of pages for redaction processing. PAYG packs do not expire within their stated storage retention period.

4.2 Monthly Subscription Plans

Monthly subscriptions are billed on your billing anniversary date. Page allocations reset on each billing anniversary and do not carry over to the next billing period.

4.3 Page Counting

Pages are counted at the time of upload. A "page" is defined as one side of one physical or digital document page, as determined by the Service's PDF processing engine. Documents exceeding your available page balance will be rejected at upload. You will be prompted to purchase additional capacity before processing can continue.

4.4 Upgrades and Downgrades

  • Upgrades: Take effect immediately. You will be charged a prorated amount for the remainder of the current billing period, and your new page allocation will be available immediately.
  • Downgrades: Take effect at the next billing anniversary. Your current plan and page allocation remain active until that date. This prevents abuse of same-day downgrade after high-volume processing.

4.5 No Rollover

Unused pages under monthly subscription plans do not carry over to subsequent billing periods. Pages reset to the full monthly allocation on each billing anniversary date.

4.6 Refunds

All sales are final. We do not offer refunds on PAYG packs once any pages have been processed. For monthly subscriptions, we do not offer partial-month refunds. If you believe you were charged in error, contact billing@drredact.com within 30 days of the charge.

4.7 Price Changes

Dr. Redact reserves the right to modify pricing with 30 days' advance notice to subscribers via email and in-app notification. PAYG pack prices at time of purchase are honored for the duration of that pack's storage period.

5 Document Storage, Retention, and Deletion

5.1 Storage

All uploaded documents (originals and redacted versions) are stored in encrypted cloud storage using AES-256 encryption. Documents are accessible only to authenticated users of the account that uploaded them.

5.1.1 Destruction of the Original at Processing

Your uploaded original is retained only until you process the document. You may scan, review, and re-scan without limit before that point. When you press “Process Document”, the redacted output replaces the original in storage and the unredacted original is permanently destroyed. Where an audit certificate is issued, it records this. Thereafter only the redacted output and its certificate remain, for the balance of your retention period.

Because a redaction the Service failed to apply remains visible in the redacted output, further redaction rounds on the same document remain available at no additional charge. A redaction that was applied cannot be reversed, as the underlying content no longer exists. You are responsible for reviewing detections before processing.

5.2 Retention Period

Documents are retained for the period applicable to your plan (as shown in Section 4) measured from the date of upload. Your retention period is displayed for each document in your dashboard.

5.3 Deletion Notifications

We will send you email notifications before document deletion:

  • 7 days before expiry: First deletion warning
  • 1 day before expiry: Final deletion warning
  • On deletion: Confirmation that documents have been permanently deleted

5.4 Permanent Deletion

Upon expiry, documents are permanently and irrecoverably deleted from our systems. Dr. Redact cannot recover deleted documents. You are solely responsible for downloading your redacted documents before the expiry date. Early deletion may be requested by contacting support.

6 Acceptable Use Policy

You agree not to use the Service to:

  • Upload, store, or process documents you do not have the legal right to access or modify
  • Circumvent, disable, or otherwise interfere with security features of the Service
  • Upload malicious files, viruses, or any code designed to harm the Service or other users
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or processing algorithms
  • Resell or sublicense access to the Service without an express written reseller agreement with Dr. Redact
  • Use automated scripts or bots to upload documents at a rate that exceeds normal human use
  • Upload documents containing child sexual abuse material or any other content that is illegal under applicable law
  • Attempt to re-identify individuals from documents that have been redacted by the Service
  • Use the Service in any manner that violates applicable law, including HIPAA, GDPR, and state privacy laws

Violation of this policy may result in immediate account suspension or termination without refund.

7 HIPAA Compliance and Business Associate Agreement

7.1 Free Trial — No PHI

The free trial (3 pages) is not covered by a Business Associate Agreement. You must not upload Protected Health Information (PHI) during the free trial. By using the free trial, you affirmatively represent that you will not upload PHI.

7.2 Paid Plans — Click-Wrap BAA

For all paid PAYG packs and subscription plans (Professional through Business Pro), a Business Associate Agreement is available as a click-wrap agreement accessible from your Account Settings. By executing the click-wrap BAA, you represent that you are authorized to sign on behalf of your organization as a Covered Entity or Business Associate under HIPAA.

7.3 Enterprise Plans — Executed BAA

Enterprise Starter, Enterprise Pro, and Enterprise Custom plans include a fully executed (signed) Business Associate Agreement. The BAA will be provided to you within 5 business days of plan activation and must be executed before PHI is uploaded.

7.4 Dr. Redact's Role

When processing documents containing PHI on your behalf, Dr. Redact acts as a Business Associate under 45 C.F.R. §160.103. Our specific obligations are set forth in the applicable BAA.

8 Intellectual Property

8.1 Your Content

You retain all ownership rights to documents you upload. By uploading documents, you grant Dr. Redact a limited, non-exclusive license to process, store, and transmit your documents solely for the purpose of providing the Service. We do not use your document content to train AI models or for any purpose beyond providing the Service to you.

8.2 Our Service

The Service, including the website, mobile applications, AI models, detection algorithms, user interface, and all underlying technology, is owned by Dr. Redact and protected by applicable intellectual property laws. You may not copy, modify, or create derivative works of any part of the Service.

9 Disclaimers and Limitation of Liability

9.1 AI Accuracy

The Service uses artificial intelligence to detect sensitive data patterns. While we strive for high accuracy, AI detection is not infallible. Dr. Redact does not guarantee that all sensitive information in a document will be detected or redacted. You are solely responsible for reviewing AI-suggested redactions before finalizing any document. The Service provides tools to assist human review — it does not replace it.

9.2 No Legal Advice

Nothing in the Service or these Terms constitutes legal advice. You are responsible for determining your compliance obligations under applicable law and for verifying that redacted documents meet your specific requirements.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DR. REDACT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO DR. REDACT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10 Account Suspension and Termination

10.1 By You

You may cancel your subscription at any time from Account Settings. Cancellation takes effect at the end of the current billing period. PAYG packs are non-refundable once pages have been processed.

10.2 By Us

We reserve the right to suspend or terminate your account immediately, without notice or refund, if we determine that you have violated these Terms, engaged in fraudulent activity, or used the Service in a manner that harms other users or Dr. Redact.

10.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. Documents will be retained for 30 days after termination or the remainder of your plan's standard retention period, whichever is shorter, to allow download, after which they will be permanently deleted. Sections 8, 9, 11, and 12 survive termination of these Terms.

11 General Provisions

11.1 Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.

11.2 Dispute Resolution

Before filing any legal action, you agree to contact us at legal@drredact.com and attempt to resolve the dispute informally for at least 30 days. If we cannot reach a resolution, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association Commercial Arbitration Rules.

11.3 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms with a revised "Last Updated" date. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.

11.4 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and Dr. Redact regarding the Service and supersede all prior agreements.
